Press | STUDIO HOLDINGS ACQUIRES DISINFORMATION (New York) August 12, 1999 - Studio Holdings, Inc. announced today the acquisition of the counter-cultural information powerhouse The Disinformation Company Ltd. http://www.disinfo.com in a cash and stock transaction. The acquisition was announced by Disinformation's president and chief executive officer, Gary Baddeley, and Studio Holdings president, Michael Simon. "We are committed to taking all of our properties to the next level," said Michael Simon. "We made a commitment to the Disinformation team when they were two guys in an apartment just starting out, and it is rewarding to support them as they flourish." Today's announcement results from mutual confidence in a combination of the companies' respective businesses based on an already close working relationship. Studio Holdings has designed, hosted, and provided technical support for the Disinformation web site since early 1993, and Disinformation has been housed in Studio Holdings' Soho offices since June 1997. "Working with Studio Holdings has already given Disinformation access to the most creative, dynamic and forward-thinking minds in the contemporary entertainment business," said Gary Baddeley. "We feel that our potential for success has vastly increased because of Studio Holdings' great creative and financial support." Under the terms of the agreement, Studio Holdings staff will join and collaborate with Disinformation's staff to strategically extend the Disinformation brand. This will allow Studio Holdings to apply major resources to assist Disinformation in launching a new online store and to fully market and promote the Disinformation brand both online and offline.
